iwanted to address all of you on the news weve just announced. the board of directors and i have agreed to initiate a succession process for the ceo role of yahoo! roy bostock, our chairman of the board, is leading the effort to identify and assess potential candidates for consideration by the full board. the board will be evaluating and considering both internal and external candidates and has retained heidrick and struggles to help in this effort.

i will be participating in the search for my successor, and i will continue the ceo until the board selects a new ceo. once a successor is named, i will return to my previous role as chief yahoo and continue to serve as director on the board.

last june, i accepted the boards request that i assume the ceo role to restructure and reposition the company as a whole in order to effectively meet the fast -changing needs of both users and partners. since taking on the ceo role, i had an ongoing dialogue with the board about succession timing. thanks in large measure to your tireless efforts, we have created a more open, competitive yahoo! and we believe the time is now right to transition to a new ceo who can take the company to the next level.

despite the external environment we face, the fact remains that yahoo! is now a significantly different company that is

1987年1月，雙方經(jīng)過協(xié)商同意簽定一份經(jīng)營承包合同，發(fā)包方為××省××公司法人代表劉經(jīng)理；承包人是公司職工靳××；承包期限規(guī)定從1987年1月至1990年1月。根據(jù)合同第六條經(jīng)營自主權(quán)規(guī)定：包括業(yè)務(wù)經(jīng)營權(quán)，財(cái)務(wù)管理權(quán)，勞動(dòng)工資獎(jiǎng)金分配權(quán)等。自合同生效后，月月有盈利，全體從業(yè)人員在獎(jiǎng)金方面比過去得到了實(shí)惠。

但在本年10月，發(fā)包方以商店內(nèi)有四名職工檢舉揭發(fā)承包人有經(jīng)濟(jì)和違反政策等問題，列舉了我四條罪狀，作出片面的處理決定，他們撕毀合同，解除我的承包人職務(wù)。對此，我申訴到上級省主管公司，未能合理解決，特依法提起訴訟。

首先，我對發(fā)包方對我作出的所謂四項(xiàng)經(jīng)濟(jì)問題和違反政策罪狀的實(shí)際情況作以說明，供法庭查證參考，以便作出公正的裁判。

發(fā)包方處理的第一個(gè)問題是：“我用現(xiàn)金在商店套換轉(zhuǎn)帳支票給個(gè)體戶購買原料，給國家造成稅收損失元”；

這一問題的實(shí)際情況是：我們承包合同第二條承包范圍中（5）公司提供流動(dòng)資金人民幣叁萬元（其中包括庫存貨物）。以此微薄地資金是不可能開展扭虧為盈的承包局面的，況且?guī)齑尕浳镏挥匈u出后才能變成流動(dòng)資金，如果減去貨物價(jià)值，資金更少了。因此，我憑個(gè)人往來，從針織品個(gè)體戶魯××處借現(xiàn)金七萬元，兩個(gè)月后全部還清。我借入現(xiàn)金存入銀行，有帳可據(jù)，但從銀行再提出七萬元現(xiàn)金還債是不可能的，因而只能用支票去還債。這有什么不對？我因公借款，以支票還債，這對稅收有何損害？如有稅務(wù)問題，為什么稅務(wù)機(jī)關(guān)一直沒來查處？因此，發(fā)包方說我以現(xiàn)金套換支票，這是得了便宜還罵人的不義之說，我不能接受。

第二個(gè)問題是：“代銷商品不入庫、不走帳，商品售出撕毀小票，范文《經(jīng)營承包合同糾紛起訴狀民事訴訟文書》。進(jìn)銷差款不入帳，并隨意支出，違反了國家財(cái)經(jīng)管理制度，影響了承包人、商店、及公司的利益�！�

這個(gè)問題是帶有歷史性的，實(shí)際是：掌管這一代銷業(yè)務(wù)的負(fù)責(zé)人是上任就負(fù)責(zé)此項(xiàng)工作的副經(jīng)理王××。此人是前一任的副經(jīng)理，我承包后原職不變。代銷貨進(jìn)銷差額保留在所謂“小金庫”的事，都由王××專管，不是不入帳，也不是隨意支出。這種“小金庫”的收支直接和職工福利掛勾，是從我的前任到我經(jīng)手一直由這個(gè)副經(jīng)理王××專管。但在他檢舉了我之前，我問過他存多少錢？他說四、五百元。當(dāng)他檢舉我之后，又說把錢給我了。向他要帳，說燒了。從這個(gè)經(jīng)過看來，這個(gè)不光彩的“小金庫”不是從我做起，更不是由我專管。這是沿襲下來的弊病。王××是沿續(xù)管理的人負(fù)責(zé)，請法庭詳查。

第三個(gè)問題，說我虛報(bào)考勤套取工資，絕無此事。有考勤表可查，更有考勤員薛××可證，這個(gè)問題是強(qiáng)加于我的陷害。

第四個(gè)問題，說我用人不當(dāng)，給商店人員思想造成混亂。這個(gè)問題才是主要的關(guān)鍵所在。自我承包后，經(jīng)濟(jì)搞活了，收支有盈余，職工資金增多，以王××為首的人既羨慕又嫉妒，這才出現(xiàn)排擠我的苗頭。就在這承包的一年中，揭發(fā)檢舉我的四個(gè)人有三個(gè)人因犯錯(cuò)誤被我調(diào)換了工作。

對此，我認(rèn)為發(fā)包方和上級主管公司，沒有深入調(diào)查研究，主觀作出決定是不對的。

當(dāng)前在城市企業(yè)改革中，許多企業(yè)建立各種形式的經(jīng)濟(jì)責(zé)任制，訂立生產(chǎn)經(jīng)營承包合同，這是經(jīng)濟(jì)體制改革的新事物。它與經(jīng)濟(jì)合同有頗多相似之處。因此，《經(jīng)濟(jì)合同法》應(yīng)當(dāng)是調(diào)整這類經(jīng)濟(jì)關(guān)系，解決承包合同糾紛的主要依據(jù)。為此，請求法庭依照經(jīng)濟(jì)合同法的違約規(guī)定給予公平處理，是所至盼。
