摘要:隨著人類進(jìn)入知識(shí)經(jīng)濟(jì)時(shí)代,保護(hù)商業(yè)秘密成為法律的一個(gè)重要任務(wù) 。用人單位商業(yè)秘密的流失有各種各樣的原因,通過勞動(dòng)者泄密是其中的一種形式 。競(jìng)業(yè)禁止是用人單位可以采用的保護(hù)其商業(yè)秘密的法律手段之一,同時(shí),在維護(hù)公平的競(jìng)爭(zhēng)秩序上也具有重要的作用 。但是,由于競(jìng)業(yè)禁止不僅與用人單位的利益相關(guān),更關(guān)涉到勞動(dòng)者的勞動(dòng)權(quán)、自由擇業(yè)權(quán)甚至生存權(quán),因此,如何平衡用人單位和勞動(dòng)者之間的利益沖突,如何使得競(jìng)業(yè)禁止制度在發(fā)揮作用的同時(shí)不被用人單位濫用而成為限制勞動(dòng)者的工具,是競(jìng)業(yè)禁止的關(guān)鍵所在 。
本文以勞動(dòng)合同法中的第二十三條為例,探討了我國(guó)競(jìng)業(yè)禁止制度的問題 。首先闡述了競(jìng)業(yè)禁止法律制度的立法現(xiàn)狀,分析了我國(guó)目前關(guān)于競(jìng)業(yè)禁止法律制度的立法特別是勞動(dòng)合同法中的二十三條現(xiàn)狀,以及存在的缺陷,然后介紹了國(guó)外競(jìng)業(yè)禁止法律制度的規(guī)定,最后提出了完善我國(guó)競(jìng)業(yè)禁止法律制度的對(duì)策 。
Abstract:Competing-for-job-prohibition is the legal means to protect employer’s trade secrets and had played an extremely vital role in the maintenance fair competition order. Competing-for-job-prohibition has been obtained by scholar's affirmation and the legislation acknowledgment. But, not only because this system with employer's benefit correlation, concern relation to worker's work right, free choosing profession right and even the right to survive, therefore, how balances between the employer and worker's conflicts of interest, how causes to competing-for-job-prohibition while to play its effective role and is not abused by the employer is key point of this system. This article attempts to participate in the discussion and expresses my view. In this ***, prevail stipulation of promissory competing-for-job-prohibition, analyzing the defects of those prevailing stipulations from the aspects of legislation principle, promissory competing-for-job-prohibition and dismiss of a contract, stipulations of promissory competing-for-job-prohibition in other country, in the last, relevant problems referring to promissory competing-for-job-prohibition in our country.
