1、目的：
為明確公司（簡(jiǎn)稱為甲方）對(duì)供應(yīng)商的質(zhì)量要求，并為供應(yīng)商（簡(jiǎn)稱為乙方）的產(chǎn)品不合格時(shí)，作為處理和索賠的依據(jù)。
2、質(zhì)量要求：
2.1、乙方為甲方提供的產(chǎn)品，其性能必須符合甲方的《原材料技術(shù)標(biāo)準(zhǔn)》或《外協(xié)件內(nèi)控標(biāo)準(zhǔn)》。
2.2、乙方每次送貨時(shí)，必須提供物資的合格證或自檢報(bào)告等證明物資合格的材料

2.3、乙方的產(chǎn)品包裝必須滿足甲方要求；包裝必須注明生產(chǎn)日期、生產(chǎn)批號(hào)、有效期、重量等。
2.4、當(dāng)甲方的顧客需要到乙方進(jìn)行驗(yàn)證時(shí)，乙方應(yīng)給予安排并配合驗(yàn)證工作。
2.5、乙方必須保證百分之百的及時(shí)供貨能力

一會(huì)兒揚(yáng)起棒子學(xué)“棒打妖精”，一會(huì)又學(xué)起楊子榮端著木制沖鋒槍“橫掃千軍”……

3、發(fā)生不合格的處理：
3.1、經(jīng)甲方驗(yàn)證不符合《原材料技術(shù)標(biāo)準(zhǔn)》的原材料或不符合《外協(xié)內(nèi)控標(biāo)準(zhǔn)》的外協(xié)件，乙方必須進(jìn)行退貨，并由乙方負(fù)擔(dān)甲方的運(yùn)輸費(fèi)及試驗(yàn)費(fèi)。（運(yùn)輸費(fèi)按每100公斤；10元/10公里、試驗(yàn)費(fèi)按30元/100公斤）。
3.2、發(fā)現(xiàn)乙方物資不合格時(shí)，應(yīng)及時(shí)按甲方提供的信息進(jìn)行整改，并在15天內(nèi)提交給己方整改措施報(bào)告，經(jīng)甲方確認(rèn)后才能再次送貨。
備注：（雖然我公司對(duì)關(guān)鍵物資、重要物資、一般物資進(jìn)行性能試驗(yàn)或檢驗(yàn)，但在使用過程中如出現(xiàn)質(zhì)量問題，乙方不能推卸責(zé)任，并由乙方負(fù)擔(dān)全部損失）

本協(xié)議為《采購(gòu)協(xié)議》的附件之一，適用于正常采購(gòu)到貨產(chǎn)品及索賠到貨產(chǎn)品的質(zhì)量要求，與該協(xié)議有同樣的法律效力，甲乙雙方應(yīng)嚴(yán)格遵守。as one of supplementary of purchasing agreement, this agreement applies to the quality requirement of normal purchase and claims.
甲乙雙方以相互信任、相互合作的態(tài)度，對(duì)該協(xié)議的以下條款達(dá)成一致：based on the mutual trust, mutual cooperation, both parties agree to achieve the agreement as below:

第一條 產(chǎn)品標(biāo)準(zhǔn)standard
乙方應(yīng)嚴(yán)格按照前期甲方測(cè)試確認(rèn)可以接受的樣品性能、以及按照甲方提供的設(shè)計(jì)圖紙和技術(shù)，進(jìn)行本產(chǎn)品的生產(chǎn)和向甲方批量供貨。party b should provide the goods whose performance, design, technology parameter are same as the samples confirmed by party a.
第二條 檢驗(yàn)方法 testing way
2．1　樣品封樣：在第一批供貨之前，乙方提供______個(gè)產(chǎn)品/每個(gè)編碼，由甲方研發(fā)部、質(zhì)量檢驗(yàn)部和乙方共同簽字確認(rèn)后，作為此產(chǎn)品的封樣樣品，以后的來(lái)料檢驗(yàn), 成品檢驗(yàn)將以封樣樣品為檢驗(yàn)的標(biāo)準(zhǔn)之一。sealed sample: before 1st shipment lot, party b should provide ______pieces/code samples, which should be approved and sign off by the research & development dept. and quality control dept. of party a and party b, as the sealed samples; the inspection of incoming material and finished goods should referring to the sealed samples as the standard.
2．2　檢驗(yàn)標(biāo)準(zhǔn)：以甲方提供的設(shè)計(jì)圖紙和技術(shù)參數(shù)規(guī)定、封樣樣品、甲方的交驗(yàn)標(biāo)準(zhǔn)、相關(guān)國(guó)家標(biāo)準(zhǔn)、甲乙雙方承認(rèn)的抽樣質(zhì)量標(biāo)準(zhǔn)為依據(jù)進(jìn)行檢驗(yàn)。inspection standard: based on the design drawing, technology parameter, sealed samples, specific inspection standard provided by party a, and approved aql standard by both parties.
第三條　信息溝通communication
3．1　甲方在來(lái)料檢驗(yàn)中，發(fā)現(xiàn)不合格產(chǎn)品，需對(duì)乙方開具《供應(yīng)商質(zhì)量異常報(bào)告》，乙方需在_____日內(nèi)對(duì)《供應(yīng)商質(zhì)量異常報(bào)告》中質(zhì)量問題的形成原因、糾正預(yù)防措施、措施實(shí)施時(shí)間等內(nèi)容，以書面形式進(jìn)行回復(fù)。對(duì)于甲方退貨批次，乙方還需向甲方提供退貨批次的處理方式和相關(guān)質(zhì)量記錄

3．2　乙方每月需對(duì)甲方來(lái)料檢驗(yàn)、生產(chǎn)制程和客服中心返還的需要索賠的產(chǎn)品進(jìn)行分析，并在每月______日前向甲方提供分析報(bào)告。party b should monthly analyze the inspection report, production procedure, and claims from party a, and provide the analysis report before______date each month.
3．3　甲乙雙方定期召開品質(zhì)溝通會(huì)議，會(huì)議時(shí)間另由雙方協(xié)商確定。both parties will have the regular quality session, date and time should be confirmed by both parties.
第四條　問題解決及違約責(zé)任problem resolution and breach responsibility
4．1　乙方對(duì)本協(xié)議第2,3,4條所列條款執(zhí)行不利，且在甲方提出改進(jìn)要求后乙方仍無(wú)改進(jìn)跡象，甲方有權(quán)取消乙方的合格供方資格。if party b doesn’t well cooperate for clause two, three & four in the agreement, still not improve after requesting by party a, and party a has the right to cancel the supplier membership.
4．2　乙方應(yīng)保證到貨的型號(hào)規(guī)格與《采購(gòu)訂單》和《技術(shù)規(guī)格書》一致，并完全按照《技術(shù)協(xié)議書》中的標(biāo)準(zhǔn)供貨。對(duì)由于到料與《采購(gòu)訂單》和《技術(shù)規(guī)格書》中的標(biāo)準(zhǔn)不一致的，甲方有權(quán)要求乙方退貨、換貨，并按采購(gòu)合同的約定承擔(dān)相應(yīng)的賠償責(zé)任

熟悉涉外工作常用禮儀；具備較好的英語(yǔ)聽、說(shuō)、讀、寫、譯等能力；能熟練操作計(jì)算機(jī)辦公軟件。

。 party b should guarantee the goods codes and specification are same as requested in purchasing orders and technology specification; if any discrepancy, party a has the right to reject goods, request to change, or compensate according to the purchasing orders.
4．3　乙方應(yīng)承擔(dān)交貨至甲方運(yùn)輸過程中出現(xiàn)的來(lái)料損壞、丟失、外包裝破損等損失。party b should undertake the responsibility for any damage, loss of goods during the transportation.
4．4　甲方在來(lái)料檢驗(yàn)時(shí)對(duì)來(lái)料批判定為不合格批時(shí)，應(yīng)及時(shí)通知乙方，乙方應(yīng)當(dāng)在______小時(shí)內(nèi)派人進(jìn)行確認(rèn)。
party a should notify party b if unacceptable defects and party b should assign the relative quality & technology staffs to confirm, investigate and give corrective action within________hours in written.
4．5　批量供貨時(shí),相同物料來(lái)料檢驗(yàn)出現(xiàn)連續(xù)批次不合格；制程淘汰率連續(xù)___個(gè)月超標(biāo)/含等于（___%）或出現(xiàn)批量質(zhì)量事件（批次同種故障率>=_______ %）或重大質(zhì)量投訴。乙方產(chǎn)品出現(xiàn)以上任何一種情況，除乙方必須承擔(dān)由此造成的一切損失外，甲方尚有權(quán)采取庫(kù)存相關(guān)產(chǎn)品退貨、罰款（訂單金額的____% ）、暫停乙方供貨，限期整改等措施。if the same code products occur the continuous defects, and the percentage of defects continuously exceed (including equal to_______ %) /month or the defects>=_____% in the same shipment lot or serious quality complaint, party b must be responsible for all the losses, party a has the right to reject all stock goods, penalty (_____% of purchasing amount), stop party b to provide goods, and request to improve in the limited period.
a) 如乙方泄漏未經(jīng)甲方允許私自保留或泄露甲方的機(jī)密資料造成甲方經(jīng)濟(jì)損失的,乙方將承擔(dān)因此而產(chǎn)生的所有經(jīng)濟(jì)及法律責(zé)任；if party b keep or leak any confidential information without permission from party a, party b shall bear all the economic losses and legal responsibilities.
b) 如乙方在向甲方供應(yīng)的任何材料,零部件等中含有有關(guān)環(huán)境法規(guī)規(guī)定的對(duì)環(huán)境有害的材質(zhì),一經(jīng)查出,乙方供應(yīng)的任何材料、零部件在終端消費(fèi)者使用時(shí)出現(xiàn)安全問題和對(duì)人體產(chǎn)生重大傷害問題,乙方將承擔(dān)因此事件所產(chǎn)生的所有相關(guān)責(zé)任和費(fèi)用,并負(fù)責(zé)賠償給甲方所造成的所有相關(guān)損失；if party b supply the spare parts of any material contained in the environmental regulations of the materials harmful to the environment, unsafely problem or harmful to human being at end customer, and party b shall undertake the event of all relevant obligations and compensate for parts of all relevant losses.
c) 以上損失在雙方未協(xié)商好或未經(jīng)司法機(jī)關(guān)裁定前,以乙方所有貨款暫時(shí)作為抵押,甲乙雙方將依最后處理結(jié)果予以相關(guān)責(zé)任履行；if any losses mentioned above happen, before the final confirmed settlement can be reached, order payment will be regarded as the compensation mortgage till good settlement.
4．6 來(lái)料檢驗(yàn)過程中出現(xiàn)以下狀況時(shí)：below problems during the inspection:
4.6.1 來(lái)料批量與送樣不符時(shí)：乙方應(yīng)____日內(nèi)更換合格物料給甲方，不得延誤甲方生產(chǎn)，如乙方原因?qū)е录追缴�產(chǎn)停線將按_____元/小時(shí)的標(biāo)準(zhǔn)賠償甲方停產(chǎn)損失。if parts are discrepancy as sealed sample, party b should change the qualified parts within_____days, can’t delay party a production line; if party a production line have to stop caused by party b’s unacceptable defects or unqualified parts, party b should compensate party a as rmb_____/hour.
4.6.2 來(lái)料不良導(dǎo)致：problems by defects
a.雖不造成停產(chǎn)，但將導(dǎo)致甲方本批產(chǎn)品質(zhì)量降等的，甲方應(yīng)拒絕本批物料，乙方應(yīng)及時(shí)處理并保證所供物料符合甲方品質(zhì)要求，同時(shí)不阻礙甲方生產(chǎn)則乙方無(wú)需賠償。if any unacceptable parts defects down party a’s final finished goods, party a should reject, party b should improve and provide qualified parts on time, not to delay party a’s production line.
b.雖不造成停產(chǎn)，甲方代替乙方挑選使用的，由乙方承擔(dān)挑選費(fèi)用，并無(wú)償調(diào)換不良品；如乙方派相關(guān)人員到甲方配合加工車間挑選，則乙方只用合格品無(wú)償更換不良品。 if any unacceptable defects from party b, need party a to sort out on-site, party b should bear the rework labor cost, and change the unqualified parts for free; if party b assign workers to sort out defects in party a’s working shop; party b also needs to exchange the unqualified parts by using qualified parts.
4．7　因乙方產(chǎn)品質(zhì)量問題，導(dǎo)致甲方用戶多批次投訴，影響甲方產(chǎn)品聲譽(yù)的，甲方可要求乙方承擔(dān)相應(yīng)的責(zé)任（按當(dāng)批次產(chǎn)品金額的______%支付給甲方）。if the end customer complaints caused by unqualified parts provided by party b, and down party a’s goods reputation, party a has the right to give relative compensation( referring to______% of the lot).
4．8　由乙方產(chǎn)品質(zhì)量問題導(dǎo)致的甲方產(chǎn)品售后出現(xiàn)質(zhì)量事故，經(jīng)甲乙雙方調(diào)查確認(rèn)后，乙方應(yīng)承擔(dān)所供甲方的相關(guān)產(chǎn)品單價(jià)_______倍損失。if the serious quality issue happens caused by parts provided by party b in at end customer, after both parties confirm the issue, party b should compensate referring to ____times of products price.
4．9　甲方采用乙方產(chǎn)品生產(chǎn)出的成品，可能會(huì)接受國(guó)家、各地方質(zhì)量監(jiān)督部門、特殊客戶等第三方不定期的抽檢，如抽檢中發(fā)現(xiàn)由乙方產(chǎn)品未達(dá)到國(guó)家標(biāo)準(zhǔn)而引起的甲方成品的任何不合格，經(jīng)甲乙雙方確認(rèn)后，乙方應(yīng)承擔(dān)第三方的檢驗(yàn)費(fèi)用和其他相關(guān)費(fèi)用; 同時(shí)甲方保留因此而造成對(duì)甲方名譽(yù)損害和經(jīng)濟(jì)損失對(duì)乙方進(jìn)行索賠的權(quán)利。the final finished goods produced by party a may be audited or random inspected by the state, local quality bureau or special customer or the 3rd party, if found unqualified goods caused by parts provided by party b, after both parties confirm the issue, party b should bear the relative testing and inspection fee or other additional fee; at the same time, party a retain the right to claim to a reputation for damages and economic loss.
第五條　爭(zhēng)議的解決disputes
雙方在履行本協(xié)議過程中如發(fā)生爭(zhēng)議，應(yīng)友好協(xié)商解決。若協(xié)商未成，任何一方均可向甲方所在地有管轄權(quán)的人民法院提起訴訟。all disputes in connection with the execution of this contract shall be settled friendly through negotiation. in case no settlement can be reached, either party can lawsuit to the local court that has jurisdiction. 　　
第六條　雜項(xiàng)miscellaneous
6．1　甲乙雙方如有對(duì)本協(xié)議的補(bǔ)充和說(shuō)明，雙方應(yīng)另行協(xié)商。the agreement will be renewed or supplemental if both parties mutually agreed in written.
6．2　本協(xié)議為《采購(gòu)協(xié)議》的附件之一，自甲乙雙方法定代表人或授權(quán)代表簽字并加蓋法人公章之日起生效，有效期至雙方協(xié)商簽訂新協(xié)議或停止合作時(shí)止。本協(xié)議壹式二份，具有同等的法律效力，甲乙雙方各持一份。in witness whereof, this agreement is duly executed at above effective date by duly authorized representatives of both parties, remains valid until the two parties negotiate a new agreement or cease cooperation. the agreement has 2 original copies held by both parties, and has same legal validity.
